<p style="text-align: justify;"> <strong>COSTITUZIONE DI UNA NEWCO in una FREE ZONE a DUBAI</strong></p>
<p style="text-align: justify;">Le spese di costituzione in se stesse non sono elevatissime: parliamo di alcune migliaia di dollari per una FZ (diverso è il discorso per aprire a Dubai fuori dalla free Zone e lavorare con Dubai: lì si ha bisogno di uno sponsor locale che costa, solo per il fatto di mettere il nome, dai 10 ai 20 mila dollari).</p>
<p style="text-align: justify;">Per aprire a Dubai, però, anche in una Free Zone si ha necessità di un ufficio, che per quanto piccolo e non di rappresentanza, costa non meno di 1000 $ / mese.<br />
A questo punto si deve pensare: ho un ufficio a Dubai, lo lascio vuoto e lo uso solo per poter appoggiare la sede della società, o a questo punto lo faccio fruttare? In questo secondo caso, con le spese di arredamento, una segretaria filippina o indiana e qualche spesa accessoria, si arriva ad un totale di circa 50,000 $ per anno.</p>
<p style="text-align: justify;">L&#8217;apertura di una società a Dubai, però, da come ulteriore beneficio la possibilità di richiedere un visa resident; in questo modo si può aprire un conto corrente negli emirati, si può andare e tornare senza dover chiedere ogni volta il visto turistico/affari (valido solo 60 giorni) e così via.</p>
<p style="text-align: justify;">Attenzione: visa resident non vuol dire necessariamente che dobbiamo spostare la nostra residenza a Dubai.</p>
<p>Inoltre Dubai ha una tassazione dello 0%&#8230;</p>
<p style="text-align: justify;">
In alcune Free Zone degli Emirati Arabi Uniti, è <strong>possibile costituire una società, senza dover avere necessariamente una sede fisica</strong>. Potrebbe essere inizialmente una buona soluzione per minimizzare i costi, salvo poi spostarsi e prendere un ufficio quando il progetto decolla.</p>
<p>I costi da pagare all&#8217;autorità variano a seconda della Free Zone che si va a scegliere (e attenzione, non tutte offrono questa possibilità); tra questi annoveriamo i principali<br />
- a partire da 7000 dirham per la licenza (da pagare una tantum)<br />
- a partire da 17000 dirham di spese annuali (da pagare già dal primo anno e che includono una scrivania condivisa)<br />
- 4000 dirham per avere un visto residente (valido 3 anni) per il titolare dell&#8217;azienda</p>
<p>1 euro = circa 5 dirham</p>
<p>per un totale di circa 6000 euro il primo anno e poco più di 3000 dal secondo.</p>
<p>Potrebbero chiedere una lettera di credito di una banca ovvero un estratto conto aggiornato che attesta che hai almeno un piccolo capitale a disposizione per far partire questo progetto (non bloccano nulla, né richiedono cauzione: solo per accertarsi che si la forza di stare in piedi per i primi tempi).</p>

It is hard to believe that just 50 years ago, Abu Dhabi the island capital of the United Arab Emirates was a bleak fishing and pearling village. The evolution of Abu Dhabi has been spectacular. Today, it has large gardens, green boulevards, sophisticated high-rise buildings, rich shopping malls, cultural centers and events that offer one-of-a-kind experience all the year round. En route to Abu Dhabi is the humungous Jebel Ali Port, the largest man-made port in the world. Driving through the bridge we pass by Abu Dhabi&#8217;s magnificent new mosque, which is nearing completion and is also widely believed to be one of the biggest mosque in the world. On arrival in Abu Dhabi we visit the renovated AL HUSN PALACE now home of the Centre for Documentation and Research. We then learn about the oil the so-called &#8216;black gold&#8217; &#8211; and how it has transformed Abu Dhabi into the wealthy city of today. The journey then continues towards a drive along the beautiful Corniche gives a magnificent view of the city.<br />
Later, the tour passes the majestic president’s palace, then to the Dhow Yard, where wooden ships are still built using simple tools and lastly the Women Handicraft Centre where we admire the skill and dexterity of local ladies.</p>

<strong>AL AIN CIT TOUR </strong><br />
Dramatically situated against the mountain backdrop of the 1300-metre-high Jebel Hafit, for years Al Ain has been an important stop on the caravan trail. The adventure starts  with stop at the nation&#8217;s largest museum located within the walls of Al Jahili Fort, which fabulously exhibits the magnificent archaeological excavations from Jebel Hafeet.<br />
The next stop is the quaint and busy camel market also considered as the largest camel market in the Middle East. Our journey then continues to the nearby Buraimi Oasis in the Omani territory where we observe the 2,000- year-old irrigation system feeding the date gardens. Appetizing lunch will be served high above the city on your own expencess, in the five star mountain hotel of Jebel Hafeet where we enjoy a spectacular view over the whole Al Ain area.<br />
Subsequently we drive back to Dubai.</p>

Tour of Islamic history and culture. One of the major attractions to photographers is the distinctive King Faisal Mosque built to honor King Faisal of Saudi Arabia that currently  is the largest mosque in the Emirates. En route we continue towards the renovated Fort of Sharjah, former residence of the ruling family originally built in 1820, followed by the  authentic 150-year-old ‘Al Nabooddah House&#8217;, the museum for cultural heritage. Exploring the myriad images of Arabia, we take a quick stroll to the adjacent souks` of &#8216;Al Arsa&#8217; and  to the &#8216;Majarrah Souk&#8217; will take you to our next venue which is the distinguished Souk &#8216;Al Markazi&#8217; – a treasure trove of Persian carpets, souvenirs, jewellery and handicrafts.<br />
Just 15 minutes drive from the northeast of Sharjah is the Emirate of Ajman – A small Emirate with a lovely stretch of white sandy beach. We then make our way towards the famous historical fort and the museum which brilliantly displays the Emirates past before the discovery of oil. Our journey takes us to the Dhow-building yard where the Dhows  (traditional boats) are still hand made.<br />
This concludes our tour before heading back to Dubai.</p>
<p><strong>EAST COST TOUR </strong><br />
The road to the northern emirates of uae is one of the most scenically spectacular in the Emirates; you emerge from the magnificent sand dunes of the central region to be met by the grand Hajar Mountains at the town of Dhaid. Our first stop is the Friday market that was originally established for Fridays but is now open everyday. Proceeding onwards we move towards the14th century Bithna Fort followed by a lovely drive towards the pictures que emirate of Fujairah. We then head towards one of the beach hotels for a lunch.<br />
After lunch we proceed to the scenic fishing village of Dibbah. The mountain village of Khassab is the next &#8220;Must-See&#8221; on this tour, where the friendly Shihu Tribe still lives in houses built of rock. We then cross the Musandam Peninsula, which belongs to the Oman, on rough tracks through the narrow gorges up to a height of nearly 1200 meters. From there, you will have an astonishing view of fascinating cliffs and deep canyons.<br />
Afterwards we head back to Dubai with a drive through the Emirates of Ras Al Khaimah, Umm Al Quwain, Ajman and Sharjah.</p>

Dubai è, dopo Abu Dhabi, il secondo emirato del paese. La popolazione è stimata in 1.370.714 abitanti (2006).</p>
<p style="text-align: justify;"><strong>Fujairah </strong>(arabo: لفجيرة, al-Fujayra) è uno dei sette emirati che compongono gli Emirati Arabi Uniti. In particolare è l&#8217;unico che si affaccia solamente sul golfo di Oman e quindi sull&#8217;Oceano Indiano. La sua posizione strategica favorisce molto il turismo balneare locale e le immersioni; è raggiungibile in auto da Dubai in un paio d&#8217;ore di auto.</p>
<p style="text-align: justify;"><strong>Ras al-Khaimah </strong>(arabo: رأس الخيمة, Raʾs al-Khayma, letteralmente &#8220;La cima della tenda&#8221;) è uno dei sette emirati che compongono gli Emirati Arabi Uniti. Si affaccia sul Golfo Persico ed è vicino all&#8217;emirato di Umm al-Quwain. Grazie ad una politica favorevole all&#8217;ingresso di capitali stranieri e di bassa tassazione, Ras al-Khaimah sta vedendo crescere il numero di aziende straniere e branch insediate all&#8217;interno del proprio territorio.</p>
<p style="text-align: justify;"><strong>Sharjah </strong>(arabo: الشارقة , al-Sharja) è uno dei sette emirati che compongono gli Emirati Arabi Uniti, compreso tra Umm al-Qaywayn e Dubai. L&#8217;emirato si estende per circa sedici chilometri sulla costa del Golfo Persico e per più di ottanta chilometri nell&#8217;entroterra. La popolazione è stimata in 639.298 abitanti, per lo più residenti stranieri (expats) che lavorano poi nel vicino Emirato di Dubai.</p>
<p style="text-align: justify;"><strong>Umm al-Quwain </strong>(arabo: أمّ القيوين, letteralmente &#8220;Madre dei due poteri&#8221;) è uno dei sette emirati che compongono gli Emirati Arabi Uniti, compreso tra l&#8217;emirato di Ras al-Khaimah e quello di Sharjah. Si affaccia sul Golfo Persico. è il meno popolato dei 7 emirati (poco più di 60,000 abitanti censiti) e sicuramente il meno considerato per investimenti.</p>

<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;"> Although                                      Dubai is a &#8216;no-tax&#8217; jurisdiction, ownership                                      restrictions on companies in the normal economy                                      mean that <span style="font-family: Arial;">the Jebel Ali                                      Free Zone, Dubai Investment Park, Dubai Internet                                      City, the Dubai International Finance Centre                                      (DIFC), which opened in 2003, </span><span style="color: #000066; font-size: x-small;">the                                      Dubai Airport Free Zone, and Dubai Media City</span><span style="color: #000066;"> are the key locations offering an &#8216;offshore&#8217;                                      option to foreign operators. Operations inside                                      the Free Zone (JAFZ) can be carried out under                                      various different types of license, but most                                      often a foreign company will use a a &#8216;Free                                      Zone Establishment&#8217;.</span></span></p>

<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Companies                                          approved for operation in Jebel Ali Free                                          Zone are granted one of the following                                          types of licences, renewable annually                                          for as long as the company holds a valid                                          lease from the Free Zone Authority:</span></p>

<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">An                                            Industrial Licence allows the holder                                            to import raw materials, carry out the                                            manufacture of specified products and                                            export the finished product to anycountry.</span></div>

<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">A                                            Service Licence allows the holder to                                            carry out the services specified in                                            the licence within the Free Zone. The                                            type of service must conform to the                                            parent company&#8217;s licence, issued by                                            the Economic Department or Municipality                                            of the relevant Emirate in the UAE.</span></div>

<li>
<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">A                                            National Industrial Licence is designed                                            for manufacturing companies with an                                            ownership or shareholding of at least                                            51% AGCC (Arabian Gulf Co-operation                                            Council).</span></div>
</li>
</ul>
<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">A                                        Free Zone Establishment &#8211; or FZE &#8211; is an                                        establishment formed and registered in Jebel                                        Ali and regulated solely by the Free Zone                                        Authority.</span></div>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Such                                      establishments must have a capital of at least                                      AED1 million and liability will be limited                                      to the amount of paid-up capital. A FZE need                                      only have a single shareholder and is an independent                                      legal entity.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Any                                      company, organisation or individual wishing                                      to form a Free Zone Establishment must submit                                      a completed application form to the FZE Department                                      of the Free Zone Authority. A decision on                                      whether permission has been granted will be                                      given within 30 days of receipt of the application                                      and any other information and documentation                                      required.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">If                                      permission is granted, the Authority will                                      record all relevant details in the FZE Register                                      and issue a Certificate of Formation. This                                      will specify the date of registration after                                      which the FZE will be free to conduct any                                      such business as is permitted in its Special                                      Licence. </span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                      mid-2008, over one-quarter of Dubai&#8217;s GDP                                      was generated by the Jebel Ali Free Zone,                                      which at that time had over 6,000 companies                                      operating within the zone.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                      Dubai Internet City is regulated by a law passed in 2000, and                                      is formally known as Dubai Technology, Electronic                                      Commerce and Media Free Zone. The privileges                                      offered to its occupants are very similar                                      to those applying in Jebel Ali. In line with                                      Dubai&#8217;s liberal economic policies and regulations,                                      Dubai Internet City offers foreign companies                                      100% tax-free ownership, 100% repatriation                                      of capital and profits, no currency restrictions,                                      easy registration and licensing, stringent                                      cyber regulations, protection of intellectual                                      property. </span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                      Dubai International Financial Centre (DIFC)                                      was launched in 2003 and began operations                                      in late 2004. lt was intended to fill a significant                                      gap in the market for international Shariah                                      banking, fund management and life assurance.                                      The proposed regulatory framework was published                                      for industry consultation in June, 2003. Philip                                      Thorpe, chief executive of the DIFC Regulatory                                      Authority, explained that: &#8220;We have&#8230;made                                      good use of our freedom to create a single,                                      logical framework &#8211; in contrast to older-established                                      jurisdictions, who often have to make (do)                                      and mend within existing frameworks which                                      may gradually become more complex and less                                      relevant.&#8221;</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                      July, 2003, the UAE Federal Cabinet approved                                      a Federal Decree allowing the DIFC a large                                      degree of sovereignty. In addition to confirming                                      the appointment of General Sheikh Mohammed                                      bin Rashid Al Maktoum, UAE Defence Minister                                      and then-Crown Prince of Dubai (now Ruler)                                      as the President of the DIFC, the decree officially                                      created the DIFC Financial Services Authority,                                      the DIFC Judicial Establishments and the DIFC                                      Registrar of Companies.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                      DIFC has a separate set of laws called the                                      Commercial Code, comprising a comprehensive                                      set of regulations like company law, legislation                                      on property rights, including laws on security                                      and collateral, title to goods and securities,                                      commercial transactions and contracts, and                                      insolvency.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                      January, 2004, the Dubai Financial Services                                      Authority (DFSA) announced that 12 new laws                                      relating to operations within the Dubai International                                      Finance Centre (DIFC) had been put in place.                                      Chief executive officer of the DFSA, Philip                                      Thorpe explained that:</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">&#8220;The                                      12 new laws have been drafted by the DFSA                                      to world-class standards, using the best examples                                      of legislation from around the globe. They                                      are clear and concise, and will provide certainty                                      as to the rights and obligations of the financial                                      institutions and other companies who will                                      operate in or from the DIFC.&#8221;</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                      laws (to which the DFSA has provided access                                      on its website) are:</span></p>

<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                      June 2005, five new laws dealing with legal                                      obligations, employment and security interests                                      in relation to the Dubai International Financial                                      Centre were enacted.</span></p>
<p style="text-align: justify;"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                      new legislation comprised: </span></p>

This law provides for minimum                                      employment practices comparable to established                                      international standards, so as to promote                                      fair treatment of employees and employers; </span></div>

<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Law                                      of Obligations No. 5 of 2005. This law creates                                      a framework for claimants to seek recovery                                      for non-contractual claims and sets out the                                      rules as to when obligations arise and how                                      disputes involving them are resolved; </span></div>

<li>
<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Implied                                      Terms in Contract and Unfair Terms Law No.                                      6 of 2005. This law provides for fairness                                      and certainty in contracts governed by the                                      laws of the DIFC by providing terms and conditions                                      not normally included in contracts and assures                                      the necessary framework for their enforcement; </span></div>
</li>
<li>
<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Law                                      of Damages and Remedies No. 7 of 2005. This                                      law creates the structures necessary to assure                                      the recovery of damages and other forms of                                      relief to claimants within the DIFC; and </span></div>

<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Law                                      of Security No. 9 of 2005. This law defines                                      various forms of security interests as collateral                                      for repayment of debts and prescribes the                                      process for their perfection and enforcement. </span></div>

<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Then                                    in November 2005, the DIFC Trust Law 2005, which                                    provides a comprehensive framework for the creation                                    of trusts in the DIFC, was enacted. Consisting                                    of ten major sections, the legal framework encompassed                                    matters such as choice of governing law, place                                    of administration, creation, validity and modification                                    of a DIFC trust, office of trustee, and duties                                    and powers of trustees.</span></p>
<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                    Trust Law, DIFC Law No. 11 of 2005 followed                                    closely the enactment in September of the Personal                                    Property Law No. 9 of 2005, which defines the                                    rights and obligations of parties in relation                                    to property other than real estate (land and                                    buildings) located in the DIFC, and the Law                                    Relating to the Application of DIFC Laws (Amended                                    and Restated) No. 10 of 2005.</span></p>
<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    2006, both the Companies Law and the Limited                                    Partnerships Law were amended.</span></p>
<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    February 2008, the                                    new DIFC arbitration law was enacted by Sheikh                                    Mohammed Bin Rashid Al Maktoum, Vice President                                    and Prime Minister of the UAE and Ruler of Dubai.                                    The new law facilitated the establishment of                                    the the DIFC&#8217;s Arbitration Centre and adopted                                    the UNCITRAL Model Law, with amendments aimed                                    at improving its provisions. The reform also                                    widened the scope of arbitrations which the                                    law governs, to include all types of arbitrations                                    and parties opting to arbitrate at DIFC.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    November 2008, the DIFC released its proposed                                    updates on Companies Law and Insolvency Law                                    for public consultation.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;"> The Companies Law has been updated to include                                    the registration requirements laid down by the                                    DIFC Registrar of Companies. The Insolvency                                    Law has been updated to include changes in applications                                    and procedures for winding up Protected Cell                                    Company (PCC) structures used by insurers to                                    provide an easy and cost-effective way for smaller                                    organizations to establish captive insurance                                    units.</span></p>
<p><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Also                                    in November 2008, the                                    DIFC announced that it had enacted new regulations                                    that enable companies within the financial district                                    to quickly form Special Purpose Company (SPC)                                    structures. The                                    new regulations allow companies to create SPCs                                    for facilitating both Islamic and conventional                                    transactions as well as vessel registrations.                                    Transactions that can be facilitated by the                                    new law include acquisitions and financings.                                    Under the law, Special Purpose Companies can                                    be easily structured and incorporated, while                                    enjoying exemptions from some filing and disclosure                                    rules relating to conventional companies in                                    DIFC. </span></div>
<h2><span style="font-family: Arial; color: #000066; font-size: small;"><strong> Dubai Tax Treatment of Offshore Operations<a name="tax"></a></strong></span><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;"> </span></h2>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Amongst                                    the incentives offered to companies operating                                    within the Jebel Ali Free Zone, the DIC and                                    the DIFC are:</span></p>

<div><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;"><span style="text-decoration: underline;"><em>Corporate                                        Income Tax:</em></span> No corporate income                                        tax on profits. The exemption is for a period                                        of 15 years with a guarantee of an extension                                        for a further 15 years in the event that                                        corporate income tax is introduced in Dubai.                                        Currently only banks and oil companies are                                        assessed to corporate income tax in Dubai.                                        The key difference with companies operating                                        in JAFZ is the guarantee of exemption in                                        the event that corporate income tax is imposed                                        by the government.</span></div>

Valid for six                                    months from date of issue, each visit must not                                    exceed 30 days in total. This visa costs AED1,000.                                    The visitor must enter the UAE on a visit visa                                    and obtain the multiple entry visa while in                                    the country.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">A                                    Residence Visa stamped on a passport proves                                    the legal residence of an expatriate in the                                    country. This visa is given to workers who have                                    obtained work permits or for relatives living                                    with them permanently, and additional documentation                                    is required.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    June, 2004, the Dubai government unveiled plans                                    to enshrine in law rules governing foreign freehold                                    ownership of property. Deputy director general                                    of the Dubai Chamber of Commerce and Industry                                    (DCCI), Ahmed Abdul Rahman Al Banna explained                                    that:</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">&#8220;At                                    present there is no federal law to govern foreign                                    freehold ownership of property in Dubai,&#8221; although                                    he added that as an internim measure &#8220;major                                    property developers have got together to offer                                    guarantees to investors on freehold ownership,                                    which has been endorsed by the Dubai government.&#8221;</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                    DCCI deputy director general went on to announce                                    that: &#8220;As part of our commitment to regulate                                    the real estate sector, the Dubai government                                    will issue a new property law which will address                                    some of the key issues including legalising                                    foreign freehold ownership of properties.&#8221;</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    March 2006, the long-awaited Dubai property                                    law was issued, but Law No.7 of 2006 stipulated                                    that freehold is limited to UAE and GCC citizens                                    and companies wholly owned by them, as well                                    as public shareholding companies. However, the                                    law also stipulated that upon approval of Dubai&#8217;s                                    ruler, non-UAE nationals may be given the right                                    to own properties in some parts of Dubai. </span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">In                                    August 2006, the Dubai International Financial                                    Centre Authority (DIFCA) published draft legislation                                    that will allow foreign freehold ownership of                                    property in the DIFC.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                    laws published included the DIFC Real Property                                    Law 2006 and the Strata Title Law 2006. The                                    Real Property Law guarantees ownership of freehold                                    land and interest in land within the DIFC. It                                    will allow for foreign companies and individuals                                    to hold freehold ownership of real estate within                                    the Dubai International Financial Centre.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">The                                    Strata Title Law establishes a system of guaranteed                                    freehold title to units in buildings in the                                    DIFC. It is based on the system originally developed                                    in Australia, which is now in use in many countries                                    around the world, including Singapore.</span></p>
<p align="left"><span style="font-family: Arial,Helvetica,sans-serif; color: #000066; font-size: x-small;">Consultation                                    on the proposed laws ended in September 2006,                                    and both laws were enacted in June 2007.</span></p>

Per      tentare la conversione da un&#8217;economia fondata esclusivamente sull&#8217;estrazione del petrolio      ad un&#8217;economia basata sull&#8217;industria e le attività finanziarie le autorità del Paese      hanno concesso agevolazioni fiscali ed incentivi economici, creando anche una zona di      libero scambio (Trade Free Zone). II regime fiscale è basato sul &#8220;Dubai Income Tax      Decree&#8221; varato nel 1969, secondo il quale tutte le società che svolgono i propri      affari attraverso una stabile organizzazione nel Paese devono essere assoggettate ad      imposizione nell&#8217;Emirato. L&#8217;aliquota massima è del 50% del reddito prodotto nel caso in      cui l&#8217;ammontare dei redditi sia superiore ai 5 milioni di dirhams. In pratica, però, il      Decreto non è operante ed un prelievo fiscale di questo ammontare viene effettuato solo      limitatamente alle banche ed alle società petrolifere. La &#8220;Jebel Ali Free Zone&#8221;      copre un&#8217;area di 100 chilometri quadrati a sud dell&#8217;Emirato. In essa sono inclusi il      &#8220;Dubai Ports Autority terminal&#8221;, una zona industriale e la &#8220;Trade Free      Zone&#8221;.</p>
<p align="justify">Le società che vi si insediano possono      beneficiare di infrastrutture di primissima qualità oltre a poter contare su alcune      interessanti agevolazioni fiscali qui di seguito sinteticamente elencate:</p>
<p>a) gli stranieri possono possedere il 100% delle società;</p>
<p>b) non esistono restrizioni valutarie di alcun tipo;</p>
<p>c) possibilità di esenzione totale da ogni forma di imposizione (comprendente i      dazi sulle importazioni e sulle esportazioni) per un periodo che può arrivare fino ad un      massimo di 15 anni;</p>
<p>d) inoltre, al verificarsi di determinate condizioni l&#8217;esenzione è rinnovabile per      un periodo di ulteriori 15 anni;</p>
<p>e) anche i permessi di lavoro per il personale straniero sono ottenibili senza la      necessità di espletare formalità particolarmente lunghe e complesse.</p>
<p align="justify">Le attività che hanno trovato più ampia      diffusione sono quelle legate al settore manifatturiero e all&#8217;assemblaggio di      semilavorati, anche se in questi ultimi anni molte società straniere hanno scelto la      &#8220;Free Trade Zone&#8221; come sede del loro centro di distribuzione per il Medio      Oriente. Prima di approfondire quali sono le opportunità di pianificazione fiscale che      l&#8217;Emirato di Dubai offre agli imprenditori bisogna premettere che gli Emirati Arabi Uniti      sono stati inclusi, con il Decreto del Ministero delle Finanze del 24 aprile del 1992,      nella &#8220;black list&#8221; che identifica i cosiddetti &#8220;paradisi fiscali&#8221;.      Pertanto, con esclusione delle società che svolgono attività di esplorazione, estrazione      e raffinazione nel settore petrolifero &#8211; espressamente escluse dall&#8217;ambito di applicazione      della normativa &#8220;anti paradiso&#8221; verranno applicate le note misure restrittive      previste dalla legge n.413 del 30 dicembre 1991.</p>
<p align="justify">C&#8217;è quindi l&#8217;impossibilità di dedurre le      spese e gli altri componenti negativi derivanti dalle operazioni con questi Paesi. C&#8217;è      inoltre l&#8217;impossibilità di usufruire del &#8220;principio di affiliazione&#8221;, vale a      dire della possibilità di escludere dal reddito imponibile il 60% dei dividendi di fonte      estera percepiti dai soggetti IRPEG. D&#8217;altra parte, essendo il prelievo fiscale quasi del      tutto inesistente, Dubai ha stipulato soltanto due Convenzioni contro le doppie      imposizioni: quella con la Francia e quella con l&#8217; UAE.</p>
<p align="justify">Numerosi sono comunque i vantaggi che si      offrono agli investitori stranieri che decidano di stabilire la sede o una filiale della      loro impresa nell&#8217;Emirato del Dubai. E&#8217; possibile, ad esempio, stabilire una sede      regionale per il Medio Oriente mediante la costituzione di una &#8220;branch&#8221; in Dubai      che svolga compiti di collegamento e rappresentanza.</p>
<p align="justify">E&#8217; poi possibile utilizzare una      &#8220;offshore company&#8221; con sede in un &#8220;tax haven&#8221; (Guernsey, Jersey, Isola      di Man, ecc.) come &#8220;casa madre&#8221; della società di Dubai; due saranno i      &#8220;percorsi&#8221; alternativi consigliabili in questo caso:</p>
<p>a) costituire una &#8220;branch&#8221; nella JAFTZ (Jebel Ali Free Trade Zone) per la      distribuzione di beni e/o di manufatti; in questo caso la &#8220;branch&#8221; non verrà      considerata un&#8217;entità separata dalla società straniera;</p>
<p>b) creare una &#8220;subsidiry&#8221; tenendo conto del fatto che essa viene      considerata legalmente distinta dalla società madre.</p>
<p align="justify">La scelta tra questo tipo di struttura e il      precedente dipende esclusivamente dal tipo di tassazione a cui vengono assoggettati i      redditi nel Paese di residenza della &#8220;casa madre&#8221;. A questo proposito occorre      tenere conto che qualora l&#8217;azionista possieda una quota del capitale sociale di una      società dell&#8217;Emirato maggiore del 49% è preferibile la costituzione di una società a      responsabilità limitata che permette una maggiore flessibilità nella distribuzione dei      profitti e nel controllo amministrativo.</p>
<p align="justify">Tuttavia, una s.r.l. può commercializzare      e produrre ogni tipo di bene solo dopo aver ottenuto una specifica licenza del &#8220;Dubai      Municipality&#8221;. In tutti i casi fin qui menzionati i redditi sono percepiti senza      l&#8217;onere di alcuna imposizione fiscale sia a Dubai che nel Paese di residenza della      società madre &#8220;offshore &#8220;.</p>
<p align="justify">Nel complesso Dubai si può definire  una &#8220;Tax Free City&#8221; nella quale gli      stranieri possono condurre i propri affari usufruendo di un ambiente molto competitivo sia      dal punto di vista fiscale che, soprattutto, da quello economico e sociale grazie alle      valide infrastrutture ed ai servizi che questo Paese è in grado di offrire.</p>
